These Terms govern your use of the Aevicor Service. They include important provisions on liability, dispute resolution, and the additional statutory rights of users in the EU, UK, EEA, and Canada.

About Aevicor & the Service
Welcome to Aevicor Inc. (also referred to as “Aevicor,” “we,” “us,” or “our”). These Terms of Use (the “Terms”) govern your access to and use of our website, https://www.aevicor.com, and any related media channels, mobile websites, or mobile applications (collectively, the “Service”).
Aevicor Inc. is a Delaware C-corporation headquartered in the State of Delaware, United States. Aevicor builds utilities for the human essentials — practical, accessible tools called “Helpers” that operate across four domains: Health, Economics, Education, and Safety. The Service includes a dual-sided marketplace, the Intrastate Food Market, that connects consumers with in-state farmers and producers.
Binding Agreement & Scope
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Service and must discontinue use immediately. These Terms apply to all users worldwide, with additional jurisdiction-specific provisions for users in California (Section 32), the European Union, United Kingdom, and EEA (Section 31), and Canada (Section 33).

1. Eligibility & Children’s Use
Minimum Age Requirement
You must be at least eighteen (18) years of age to register for an account or transact on the Service. If you are between the legal age of digital consent in your jurisdiction and eighteen (18), you may use the Service only under the supervision of a parent or legal guardian who accepts these Terms on your behalf.
Children Under 13 (US — COPPA)
The Service is not directed to children under thirteen (13). We do not knowingly collect personal information from children under thirteen in compliance with the Children's Online Privacy Protection Act (COPPA). If you believe a child has provided us personal information, contact us at privacy@aevicor.com and we will delete it.
Children Under 16 (EU / EEA — GDPR Art. 8)
Pursuant to Article 8 of the GDPR, we do not knowingly process personal data of EU/EEA residents under sixteen (16) without verifiable consent from a holder of parental responsibility. Member States may set a lower age, but in no event below thirteen (13).
United Kingdom
The age threshold under the UK GDPR and the Data Protection Act 2018 is thirteen (13); we apply the same verifiable parental-consent standard for users below that age.

2. Intellectual Property
Ownership & Protection
Unless otherwise indicated, the Service and all of its content —including source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics (collectively, the “Content”)—and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by Aevicor Inc. or licensed to us, and are protected by copyright, trademark, and other intellectual property laws of the United States, the European Union, the United Kingdom, and international treaties including the Berne Convention.
Limited License Grant
Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial use. All rights not expressly granted are reserved.

3. User Representations
Your Representations & Warranties
By using the Service, you represent and warrant that:
- All registration and account information you submit is true, accurate, current, and complete.
- You have the legal capacity and authority to agree to these Terms.
- You are not a minor in the jurisdiction in which you reside, or, if a minor, you have received parental permission to use the Service.
- You will not access the Service through automated or non-human means, except as expressly permitted.
- You will not use the Service for any illegal or unauthorized purpose.
- Your use of the Service will not violate any applicable law or regulation.
- You are not located in, under the control of, or a national or resident of any country subject to comprehensive United States sanctions, and you are not on any U.S. government list of prohibited or restricted parties.

4. User Registration
Account Registration
You may be required to register for an account to access certain features, Helpers, or marketplace functions of the Service. You agree to keep your password confidential and you are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or suspected breach of security. We reserve the right to remove, reclaim, or change any username we determine in our reasonable discretion to be inappropriate, infringing, or otherwise objectionable.

5. Prohibited Activities
Prohibited Activities
You may not access or use the Service for any purpose other than that for which we make it available. The Service may not be used in connection with any commercial endeavor except those specifically endorsed or approved by us. As a user, you agree not to:
- Systematically retrieve data or other content from the Service to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission.
- Make any unauthorized use of the Service, including collecting usernames and/or email addresses by electronic or other means.
- Engage in fraudulent, deceptive, or misleading activities, including misrepresentation of identity or affiliation.
- Circumvent, disable, or otherwise interfere with security-related features of the Service, in violation of the U.S. Computer Fraud and Abuse Act or analogous laws including the Budapest Convention on Cybercrime.
- Use information from the Service to harass, abuse, or harm another person, or engage in conduct that violates applicable anti-harassment or data-protection laws.
- Interfere with, disrupt, or create an undue burden on the Service or the networks connected to the Service, including by uploading viruses, Trojan horses, malware, or spam.
- Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Service, except as expressly permitted by applicable law.
- Use the Service in a manner inconsistent with any applicable law, regulation, or sanctions program.

6. User Contributions
Your Contributions
The Service may invite you to chat, contribute to, or participate in blogs, message boards, online forums, reviews, and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Service, including text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, “Contributions”). By creating or making available any Contribution, you represent and warrant that your Contributions do not infringe the proprietary rights of any third party; you are the creator and owner of, or have the necessary licenses, rights, consents, and permissions to use and authorize us to use, your Contributions; your Contributions are not false, inaccurate, misleading, obscene, defamatory, libelous, slanderous, or harassing; and your Contributions do not violate any applicable law or regulation.

7. Contribution License
License Grant to Aevicor
By posting Contributions to any part of the Service, you automatically grant, and you represent and warrant that you have the right to grant, to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions (including, without limitation, your image and voice) for any purpose, commercial, advertising, or otherwise, and to prepare derivative works of, or incorporate into other works, such Contributions.
Moral Rights
You retain ownership of your Contributions. To the maximum extent permitted under applicable law, you waive all moral rights in your Contributions and warrant that moral rights have not otherwise been asserted. We acknowledge that, in certain jurisdictions (including France, Germany, and other European Union Member States), moral rights cannot be waived; in those jurisdictions, this section operates only to the extent permitted by local law.

8. Use of AI
8.1 — Our Use of AI
Aevicor uses artificial-intelligence systems to power and improve our Helpers, including features that generate nutritional insights, recommend products, and personalize Service functionality.
8.2 — EU AI Act Compliance
For users in the European Union and EEA, we operate the Service consistent with our obligations under Regulation (EU) 2024/1689 (the AI Act). Where the Service involves automated decision-making that produces legal or similarly significant effects on you, you have the rights described in Article 22 of the GDPR, including the right to obtain human review, to express your viewpoint, and to contest the decision.
8.3 — Data for AI Improvement
We may use de-identified and anonymized data derived from your interactions with the Service to train and improve our AI models. We do not use Protected Health Information (PHI) or sensitive personal data for model training without an appropriate lawful basis. Refer to our Privacy Policy for details.
8.4 — Your Use of AI
Your use of AI features must comply with these Terms. You are responsible for any decisions you make in reliance on AI-generated output and for ensuring you have the right to submit any AI-generated content you upload to the Service.
8.5 — Accuracy & Limitations
AI-powered features are provided on an “AS-IS” and “AS-AVAILABLE” basis. We do not warrant the accuracy, completeness, or reliability of any AI-generated output. Health-related Helpers are for educational, nutritional, and informational purposes only and are not a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified clinician before making medical or dietary decisions.

9. Review Guidelines
Review Standards
We may provide areas of the Service for you to post reviews or ratings. When posting a review you must (i) have firsthand experience with the person or entity being reviewed; (ii) not use offensive, abusive, racist, or discriminatory language; (iii) not reference illegal activity; (iv) not post false or misleading statements; and (v) not be affiliated with competitors. We may accept, reject, or remove reviews at our sole discretion. Reviews reflect the views of their authors and are not endorsed by Aevicor.

10. Payments & Information Processing
Data Processing
We process personal data to operate user accounts, deliver Helpers and Utilities, aggregate household nutrient demand for planning insights, connect consumers with in-state farmers and producers, fulfill orders, secure the Service, and meet our legal obligations. Our lawful bases for processing are described in our Privacy Policy.
Payment Processing (Stripe)
Financial services on the Service are provided by Stripe, Inc. and are subject to the Stripe Services Agreement and the Stripe Connected Account Agreement (together, the “Stripe Agreements”). By agreeing to these Terms or continuing to operate as a marketplace participant, you agree to be bound by the Stripe Agreements. You authorize Aevicor to share accurate information and transaction data with Stripe as necessary to process payments. Aevicor does not store full payment-card numbers and relies on Stripe's PCI DSS Level 1 certification for cardholder-data security.

11. Mobile App License
Mobile Application License
If you access or download our mobile application from the Apple App Store or Google Play Store, we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the application on wireless electronic devices owned or controlled by you. You shall not (a) decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the application; (b) make any modification, adaptation, improvement, enhancement, translation, or derivative work from the application; (c) violate any applicable laws, rules, or regulations in connection with your access or use of the application; or (d) remove, alter, or obscure any proprietary notice. Apple App Store and Google Play additional terms apply to your download and use.

13. Submissions
Feedback & Submissions
You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Service (“Submissions”) provided by you to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you. To the maximum extent permitted under applicable law, you waive all moral rights to any such Submissions.

Third-Party Resources
The Service may contain links to third-party websites, applications, or content (“Third-Party Resources”) that are not owned or controlled by us. We are not responsible for the content, privacy practices, or operation of any Third-Party Resources, and inclusion of a link does not imply endorsement. You access Third-Party Resources at your own risk and subject to their own terms and policies.

15. Advertisers
Advertising
We may allow advertisers to display their advertisements and other information in certain areas of the Service. Advertisers are solely responsible for the content of their advertisements and any claims made therein. We have no other relationship with advertisers beyond the provision of advertising space.

16. Site Management
Our Management Rights
We reserve the right, but not the obligation, to (i) monitor the Service for violations of these Terms; (ii) take appropriate legal action, including referral to law enforcement, against anyone who, in our sole discretion, violates the law or these Terms; (iii) refuse, restrict access to, limit the availability of, or disable any Contributions; (iv) remove from the Service or otherwise disable files and content that are excessive in size or are in any way burdensome to our systems; and (v) manage the Service in a manner designed to protect our rights and property and to facilitate the proper functioning of the Service.

17. Privacy & Data Protection
Our Privacy Policy
We care about data privacy and security. Please review our Privacy Policy, which forms part of these Terms and explains how we collect, use, and disclose your personal data. By using the Service, you agree to be bound by it.
International Data Transfers
The Service is operated from the United States. If you access the Service from outside the United States, your personal data will be transferred to, stored, and processed in the United States, where data-protection laws may differ from those in your jurisdiction. For transfers of personal data from the EU, EEA, UK, or Switzerland to the United States, we rely on the EU-U.S. Data Privacy Framework and/or the European Commission's Standard Contractual Clauses where applicable.
Your Privacy Rights
Depending on your jurisdiction, you may have rights under the EU/UK General Data Protection Regulation, the California Consumer Privacy Act, the Canadian Personal Information Protection and Electronic Documents Act (PIPEDA), and other applicable laws to access, correct, delete, port, restrict, or object to our processing of your personal data, and to lodge a complaint with your local data-protection authority. Health Data
Aevicor is not a HIPAA-covered entity. Our models are designed to operate without using Protected Health Information (PHI) where feasible. You should not submit clinical records to the Service unless expressly invited to do so.

Aevicor is committed to making the Service accessible to people with disabilities. We aim to conform to the Web Content Accessibility Guidelines (WCAG) 2.2, Level AA, and to comply with the Americans with Disabilities Act, Section 508 of the U.S. Rehabilitation Act, and the European Accessibility Act (Directive (EU) 2019/882). 19. Copyright Infringement
DMCA Notice Requirements
We respect the intellectual property rights of others. If you believe any material on the Service infringes your copyright, please send a notification of claimed infringement to our designated agent in compliance with Section 512(c) of the Digital Millennium Copyright Act (DMCA). Your notice must include (i) a physical or electronic signature of the copyright owner or authorized agent; (ii) identification of the copyrighted work claimed to have been infringed; (iii) identification of the allegedly infringing material and its location on the Service; (iv) your contact information; (v) a good-faith statement that the use is not authorized; and (vi) a statement, under penalty of perjury, that the information in the notice is accurate and you are authorized to act.
EU Copyright Directive

20. Term and Termination
Term & Termination
These Terms shall remain in full force and effect while you use the Service. Without limiting any other provision, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Service to any person for any reason, including breach of any representation, warranty, or covenant in these Terms or of any applicable law. We may terminate your use or participation in the Service, delete your account and any Contributions, at any time, without warning. If we terminate or suspend your account, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party.

21. Modifications to the Service
Service Modifications
We reserve the right to change, modify, or remove the contents of the Service at any time or for any reason at our sole discretion without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service. We cannot guarantee that the Service will be available at all times and shall not be liable for any inconvenience caused by downtime, except to the extent that mandatory law in your jurisdiction provides otherwise.

22. Marketplace Facilitator Only
Platform Role Only
Aevicor operates purely as a technology platform that connects independent producers (such as farmers and food vendors) with consumers. Producers using the marketplace act as independent contractors and independent stewards of their own operations; they are not employees, partners, joint venturers, or agents of Aevicor. Aevicor is not a farmer, food producer, retailer, distributor, or food inspector.
No Liability for Goods
We do not grow, handle, prepare, store, package, label, or inspect any of the food or goods sold through the Service. The contract for the sale of any physical goods is strictly a bipartite contract between the consumer and the producer. To the fullest extent permitted by applicable law, Aevicor has no control over, and explicitly disclaims all liability for, the quality, safety, legality, handling, labeling, or delivery of any goods advertised or sold through the Service.

23. User-to-User Disputes & Release
Scope
Any dispute arising solely between users of the Service — including disputes between buyers and producers/sellers — is not covered by the mandatory arbitration provision in Section 30. Such disputes are the sole responsibility of the individual users involved.
Release of Claims
To the fullest extent permitted by applicable law, you hereby release Aevicor and its officers, directors, employees, and agents from any and all claims, demands, damages (actual or consequential), and losses, known or unknown, arising out of or in any way connected with any dispute between you and another user of the Service.
California Residents
If you are a California resident, you waive California Civil Code §1542, which states: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

24. Health, Allergen, and Product Liability Disclaimer
Product & Data Accuracy
The Service and its Helpers are provided on an “AS-IS” and “AS-AVAILABLE” basis. Aevicor does not independently verify the accuracy of any producer-provided inventory data, nutritional information, ingredient lists, or allergen warnings.
Risk Assumption
To the fullest extent permitted by applicable law, you assume all risk for the consumption, use, or handling of any food or product sourced through the Service. Aevicor disclaims liability for any adverse health effects, allergic reactions, foodborne illness, bodily injury, or property damage arising from such consumption, use, or handling, except to the extent caused by Aevicor's own gross negligence or willful misconduct.
Health Helpers Limitation
Our Health Helpers and nutritional insights are for informational purposes only and do not constitute medical advice, diagnosis, prescription, or treatment. We make no warranties about the accuracy or completeness of Service content, including without limitation service interruptions, errors in AI logic, or inaccuracies in producer-provided data.
EU / UK / EEA Note
Note for EU/UK/EEA consumers. Nothing in this section limits or excludes liability that cannot be limited or excluded under the law applicable to you, including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any breach of mandatory statutory consumer-protection rights. See Section 31.

25. Disclaimer of Warranties
General Warranty Disclaimer
Except as expressly provided by us in writing, the Service is provided on an “AS-IS” and “AS-AVAILABLE” basis. To the fullest extent permitted by applicable law, Aevicor disclaims all warranties, express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.
No Warranties on Content
We make no warranties or representations about the accuracy, completeness, or reliability of any Service content; the content of any websites or third-party services linked from the Service; uninterrupted or error-free operation; or correction of defects.
EU / UK / EEA Consumers
EU/UK/EEA consumers: this disclaimer does not affect your non-waivable statutory rights, including those described in Section 31.

26. Limitation of Liability
Exclusion of Indirect Damages
To the maximum extent permitted by applicable law, in no event will Aevicor or its directors, officers, employees, contractors, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profits, lost data, or business interruption, arising from your use of the Service. Aevicor operates as a marketplace platform; we do not warrant and assume no liability for the quality, safety, or legality of produce or items traded through the marketplace.
Liability Cap
Notwithstanding anything to the contrary contained herein, the cumulative liability of Aevicor and its directors, officers, employees, contractors, and agents to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the greater of (a) the amount paid, if any, by you to us during the six (6) months preceding the event giving rise to liability, or (b) one hundred United States dollars ($100.00).
EU / UK / EEA Consumers
EU/UK/EEA consumers: Nothing in these Terms limits or excludes our liability for (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; (iii) gross negligence or willful misconduct; or (iv) any other liability that cannot be limited or excluded under applicable mandatory law. See Section 31.

27. No Personal Liability of Directors or Staff
Corporate Liability Only
You agree that your sole and exclusive recourse for any claim, loss, or damage arising out of or related to these Terms, the Service, or the marketplace shall be against Aevicor Inc. as a corporate entity. To the fullest extent permitted by applicable law, you waive any right to pursue, file, or maintain any personal claim, lawsuit, or liability action against any individual founder, director, officer, employee, contractor, or agent of Aevicor. This waiver does not apply where mandatory law in your jurisdiction provides otherwise, including with respect to fraud, gross negligence, or willful misconduct.

28. Indemnification
Your Indemnification Obligations
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Aevicor Inc., its subsidiaries and affiliates, and each of their respective officers, directors, shareholders, employees, contractors, service providers, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your access to or use of the Service; (b) your breach of these Terms; (c) any claim that your Contributions caused damage to a third party; (d) any dispute between you and another user (including buyers and sellers); and (e) if you are a producer or seller, any claim for bodily injury, illness, or death arising from the goods you list, sell, or distribute through the Service. This indemnification obligation is reduced to the extent prohibited by applicable consumer law in your jurisdiction.

29. Governing Law and Venue
Applicable Law
These Terms and your use of the Service are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict-of-law principles, and (where applicable) the federal laws of the United States. Aevicor Inc. is a Delaware C-corporation headquartered in the State of Delaware and is governed by the Delaware General Corporation Law.
Jurisdiction & Venue
To the extent that any dispute, lawsuit, or court proceeding is permitted under these Terms, you and Aevicor agree to submit to the exclusive personal jurisdiction and venue of the state and federal courts located within New Castle County, Delaware, and waive any objection based on inconvenient forum.
EU / UK / EEA Consumer Carve-Out
If you are a consumer residing in the European Union, European Economic Area, or United Kingdom, the choice of law in this Section does not deprive you of the protection of the mandatory consumer-protection provisions of the law of your country of habitual residence, as required by Regulation (EC) No 593/2008 (Rome I). You may also bring proceedings against Aevicor in the courts of your country of habitual residence, as permitted by Regulation (EU) No 1215/2012 (Brussels I Recast).

30. Dispute Resolution & Arbitration
Scope of Arbitration
The following arbitration and dispute-resolution mechanisms apply strictly to disputes between you and Aevicor Inc. Disputes between users (e.g., a buyer and a seller) are not subject to this arbitration agreement and must be resolved directly between the users involved.
Informal Negotiations
Before initiating arbitration, you and Aevicor agree to attempt in good faith to resolve any dispute informally for at least thirty (30) days, by emailing legal@aevicor.com with a written description of the dispute and proposed resolution.
Binding Arbitration
If informal negotiations fail, any dispute arising under these Terms shall be resolved by binding arbitration administered by JAMS in Wilmington, Delaware, under the JAMS Streamlined Arbitration Rules and Procedures. Judgment on the award may be entered in any court of competent jurisdiction.
You understand and agree that you are waiving your right to sue in court and to a jury trial against Aevicor.
Class-Action Waiver
You and Aevicor agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
Unless both you and Aevicor agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
Exceptions
Disputes related to intellectual property rights, theft, piracy, invasion of privacy, or claims for injunctive relief are not subject to arbitration and may be brought in court.
EU / UK / EEA Consumer Carve-Out
If you are a consumer residing in the European Union, EEA, or United Kingdom, the arbitration agreement and class-action waiver in this Section do not apply to you to the extent prohibited by applicable mandatory consumer law. You retain the right to bring proceedings in the courts of your country of habitual residence. EU consumers may also use the European Commission's Online Dispute Resolution platform.

31. EU, UK & EEA Residents — Statutory Rights
Overview
If you reside in the European Union, the European Economic Area, the United Kingdom, or Switzerland, this Section sets out rights and protections that apply to you in addition to the other provisions of these Terms. In the event of any conflict between this Section and any other provision of these Terms, this Section prevails to the extent required by applicable law.
Mandatory Statutory Rights
Nothing in these Terms affects your non-waivable rights under the consumer laws of your country of habitual residence, including the EU Consumer Rights Directive (2011/83/EU), the Unfair Contract Terms Directive (93/13/EEC), and the UK Consumer Rights Act 2015.
Right of Withdrawal

Aevicor shall not be liable for any delay, failure in performance, or interruption of service resulting directly or indirectly from any cause beyond our reasonable control, including but not limited to: acts of God, natural disasters (such as hurricanes, tornadoes, floods, or earthquakes), pandemics or epidemics, acts of war or terrorism, civil unrest, labor disputes or strikes, telecommunications or internet outages, cyberattacks or ransomware, server or cloud-provider failures, power-grid failures, governmental actions or sanctions, or disruptions in the agricultural supply chain or shipping logistics. Under no circumstances shall Aevicor be responsible for any financial loss, lost profits, or spoilage of goods resulting from such uncontrollable events, except as required by applicable mandatory law.

36. Limitation on Time to File Claims
Limitation Period
To the maximum extent permitted by applicable law, any cause of action or claim you may have against Aevicor arising out of or relating to these Terms, the Service, or the marketplace must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred. EU/UK/EEA consumers retain the statute-of-limitations period under the law of their country of habitual residence where that period is longer.
